Who we are
Eidos MD, the eidos CLI, and Eidos online are made by The Virtual Panda, 800 N King Street, Suite 304 #2638, Wilmington, DE 19801, United States, in partnership with Buildable. “We” on this page means The Virtual Panda.
Using the software, this site, or Eidos online means you agree to these terms. What Eidos online keeps about you, and why, is on the Privacy page.
The license is the agreement for the software
The CLI and the desktop app are free for any use, personal or commercial, under the PolyForm Strict License 1.0.0, with an added permission from The Virtual Panda for any commercial purpose. That license is what lets you use them, and these terms do not change it.
In short: use the software as it is. It may not be changed, made the basis of new works, or redistributed. The CLI carries the license’s full text in its own files, and the desktop app shows it under Help › Licenses, beside the licenses of everything it carries.
The Eidos standard is open
The format the tools read and write, the Eidos standard and its seed frameworks, is Buildable’s, under the Apache License 2.0, in its own repository. The copy the CLI carries keeps that license, as its NOTICE file says. Anyone may build their own tool against the format.
Your work is yours
Your blueprints, tasks, comments, and every other file you make with Eidos belong to you. They stay in folders on your computer, in any repository you choose to push them to, and on Eidos online for a project you sync. We claim no rights in them.
For a project you sync, you let us store it, copy it between our servers, and send it to the people and devices on that project, for one reason only: to run Eidos online for you. We do not read it, sell it, train anything on it, or show it to anyone the project has not invited. That permission ends when the project is deleted from Eidos online.
Your account on Eidos online
An account is one person. Share a project by inviting the people on it, never by sharing a sign-in. You need to be old enough to agree to terms like these where you live, and the email on your account needs to be one you can read, since sign-in codes and receipts go to it.
Keep your way of signing in to yourself: what is done from your account is yours, including what your AI agents do through it. If you think someone else got in, sign out every device from the account site’s Devices and change your password, or tell us under Support.
Paying, renewing, and stopping
Eidos online is free to use, and nothing local is ever behind a plan. A seat, added storage, and a server licence are paid, at the prices on the Pricing page, in US dollars, through Stripe. How it works:
- It renews until you stop it. A plan renews each month or each year, as you chose, and charges the card on file. Stop at renewal under Plan and billing ends it at the end of the period you have paid for, and you keep everything until then.
- Adding is charged now, removing waits. A seat or storage you add part way through a period is charged that day for the part of the period that is left. One you remove ends at renewal, and the rest of that period is not refunded.
- Refunds. Your own seat is refunded for the time left when a seat someone gives you replaces it. For anything else that went wrong, such as a charge you did not mean to make, ask under Support and a person will look at it.
- The trial is 30 days, needs no card, and comes once per person. We email you once, a week before it ends. Do nothing and you are on the free plan again, with nothing charged.
- A failed payment keeps everything working while Stripe tries again, for up to 14 days, and only the person paying is emailed. If it still fails, the seats lapse and added storage ends.
- A lapsed plan deletes nothing. Every file stays online for its project to read and comment on. Changes from an editor without a seat wait on their own machine, and new asset files over the storage wait too, until the plan is back.
- Price changes. A price you pay never changes during a period you have already paid for. If a price changes for later periods, the person paying hears by email before the renewal it applies to, and can stop first.
- Tax. Prices do not include any sales tax or VAT, and we do not collect it today.
Fair use
Use Eidos online for your own and your team’s work, and do not use it to harm anyone. In particular, do not:
- store or share anything that is illegal where you or we are, or that you have no right to share;
- upload malware, or try to get into an account, a project, or a part of the service that is not yours;
- attack, overload, or probe the service, or get around a limit, such as the free editors or the storage, by making extra accounts;
- resell Eidos online, or host projects for other people on your own server, without a partner agreement with us.
Limits and how we enforce these terms
What an account writes to the service is held to a rate far above a person typing or an agent at ordinary work. A runaway script or loop past it is slowed, never refused: its changes wait on the machine and are sent as the rate allows. An account is signed in on up to three devices at once.
If an account breaks these terms, we can sign it out of every device, and for a serious or repeated breach we can close it. We tell the person by email what happened and why, unless the law stops us, and, unless the breach is something like malware or an attack, give them time to download their data first. If you think we got it wrong, answer that email or write under Support.
Leaving
You can leave at any time. Download your data on the account site’s Profile gives you what the service keeps about you, and every synced project is already a folder on your members’ computers. Delete account takes effect at once and cannot be undone: each project you own is handed to a member you pick or deleted, and your seats, storage, and licences end at Stripe that day, with the rest of the period not refunded. The Privacy page says what goes and what stays.
If we ever stop running Eidos online, we will email every account at least 60 days before, so everyone has time to download what they need. The CLI and the desktop app keep working on your computer either way.
A team’s own server
A team can run Eidos online on its own server. It is free for up to 3 editors with no licence and no account. From the fourth editor on, the server needs a licence that covers every editor, at the same price as a seat. A server checks its licence with us now and then, sending only the licence key, a random id it made for itself, and its count of editors; if it cannot reach us, it keeps its last answer for 30 days.
Whoever runs the server runs it for their own team, and what it keeps is theirs and their responsibility. Hosting projects for other people, as a provider or a reseller, takes a partner agreement with us.
Registry packages and plugins
The frameworks, plugins, and configurations in the Registry are published by their authors from their own repositories, under the licenses their authors choose. A person reviews each one before it is listed, but its author is responsible for what it contains. A plugin runs only after a project switches it on and you allow it on your machine.
Services you connect
Some features work with a service you bring yourself: an AI agent you are signed in to, an OpenAI key for dictation, a Git host such as GitHub, or a Jira site through its plugin. Those services are between you and their providers, under their terms and prices. The Privacy page says what each one is sent.
No warranty, and a limit on liability
The software is free and comes as it is, without any warranty, and as far as the law allows The Virtual Panda is not liable for damages from using it. The license’s No Liability section is the exact wording.
We work hard to keep Eidos online up and your projects safe, but we cannot promise it never goes down or never loses a change. Keep your work in version control or another backup, as you would with any tool that writes files. As far as the law allows, we are not liable for indirect or lost-profit damages, and our total liability for Eidos online is what you paid us in the twelve months before the claim. Nothing here limits a right the law gives you that cannot be limited.
Changes to these terms
When these terms change, the date at the top of this page changes with them. When a change matters to people with an Eidos online account, we email them before it takes effect.
Governing law
These terms are governed by the laws of the State of Delaware, United States.
